1. Acceptance of Terms

By accessing and using the Pulpculture website ("Site") and purchasing our products, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our Site or services.

These Terms and Conditions apply to all visitors, users, and customers of Pulpculture, a company based in Toronto, Ontario, Canada. We reserve the right to update or modify these terms at any time without prior notice. Your continued use of the Site after changes are posted constitutes acceptance of the updated terms.

3. Use of Website

You agree to use our website only for lawful purposes and in accordance with these Terms and Conditions. You agree not to:

• Attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to the Site

• Transmit any viruses, malware, or other harmful code
• Impersonate or attempt to impersonate Pulpculture, a Pulpculture employee, another user, or any other person or entity

4. Account Registration

To access certain features of our Site, you may be required to create an account. When you create an account, you agree to:

• Maintain the security of your password and account
• Accept all responsibility for any activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, fraudulent, or violates these Terms and Conditions.

5. Products and Pricing

All products, descriptions, and prices are subject to change without notice. We make every effort to display accurate product information and pricing, but errors may occur. In the event of a pricing error, we reserve the right to:

• Cancel the order and provide a full refund
• Contact you for instructions before fulfilling the order

All prices are listed in Canadian Dollars (CAD) unless otherwise specified. Prices do not include applicable taxes or shipping fees unless explicitly stated. Taxes and fees will be calculated and displayed at checkout.

We reserve the right to limit quantities of products offered on our Site and to refuse service to anyone for any reason.

6. Orders and Payment

When you place an order through our Site, you agree to provide current, complete, and accurate payment information. By submitting an order, you represent that:

• You are legally capable of entering into binding contracts
• You are at least 18 years of age
• You have the legal right to use the payment method provided
• All information you provide is truthful and accurate

We accept the following payment methods: credit cards (Visa, Mastercard, American Express), debit cards, and other payment options as displayed at checkout. Payment is processed securely through our third-party payment processor.

All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order for any reason, including suspected fraud, errors in product or pricing information, or other reasons at our discretion.

7. Shipping and Delivery

We ship our products within Canada to addresses provided at checkout. Shipping costs and estimated delivery times will be displayed during the checkout process.

Delivery times are estimates and not guaranteed. We are not responsible for delays caused by shipping carriers, customs, weather, or other circumstances beyond our control.

Risk of loss and title for products purchased from Pulpculture pass to you upon delivery to the shipping carrier. You are responsible for inspecting products upon delivery and reporting any damage or issues within 48 hours of receipt.

8. Returns and Refunds

Our return and refund policy is detailed separately in our Refund & Cancellation Policy. Please review this policy before placing an order.

In summary, we offer exchanges for all orders but do not provide monetary refunds on juice purchases. For damaged or defective products, please contact us immediately for a replacement.

9. Subscription Services

If you subscribe to our recurring delivery service, you agree to the following:

• Your payment method will be automatically charged on the recurring billing date
• Subscriptions will continue until you cancel
• You may pause, skip, or cancel your subscription at any time by contacting us
• Changes to your subscription must be made at least 48 hours before your next billing date
• Subscription prices are subject to change with advance notice

We reserve the right to modify or discontinue subscription services at any time with reasonable notice to subscribers.

10. Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Pulpculture, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
• You may store files that are automatically cached by your web browser for display enhancement purposes
• You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use

11. User-Generated Content

If you submit reviews, comments, photos, or other content to our Site, you grant Pulpculture a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, and display such content for marketing and promotional purposes.

You represent and warrant that any content you submit does not violate any third-party rights, is not defamatory, obscene, or unlawful, and that you have the right to grant the license described above.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Pulpculture shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our Site or services
• Any unauthorized access to or use of our servers or personal information
• Any interruption or cessation of transmission to or from our Site
• Any bugs, viruses, or other harmful code transmitted through the Site
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted or transmitted through the Site

Our total liability to you for all claims arising from or related to these Terms and Conditions or your use of the Site shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Pulpculture, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms and Conditions or your use of the Site.

14. Governing Law and Jurisdiction

These Terms and Conditions and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any legal action or proceeding arising under these Terms and Conditions will be brought exclusively in the courts located in Toronto, Ontario, Canada, and you irrevocably consent to the personal jurisdiction and venue of such courts.

15. Dispute Resolution

Before filing a claim against Pulpculture, you agree to try to resolve the dispute informally by contacting us at legal@pulpculture.ca. We will attempt to resolve the dispute informally through good-faith negotiations.

If a dispute cannot be resolved within 30 days, either party may initiate formal proceedings in accordance with the Governing Law and Jurisdiction section above.

16. Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

17. Waiver

No waiver by Pulpculture of any term or condition set out in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

18. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and Pulpculture regarding your use of the Site and supersede all prior agreements and understandings, whether written or oral, regarding such subject matter.
